1. Description of Services
Respondr provides a platform for first responders to access support services, including mental health counseling, financial assistance, and educational resources. We may also provide other services or features from time to time, and we reserve the right to modify or discontinue our services at any time.
2. User Accounts
In order to use our services, you must create a user account. You are responsible for maintaining the confidentiality of your account information, including your password. You agree to notify us immediately if you suspect any unauthorized use of your account.
3. User Conduct
You agree to use our services only for lawful purposes and in accordance with these Terms and Conditions. You agree not to:
Use our services for any illegal or unauthorized purpose
Interfere with or disrupt the operation of our services
Post or transmit any content that is unlawful, threatening, abusive, or otherwise objectionable
Misrepresent your identity or affiliation with any person or entity
5. Content Ownership and Use
You retain ownership of any content you submit or post through our services. However, by submitting or posting content, you grant Respondr a non-exclusive, transferable, sublicensable, royalty-free, worldwide license to use, copy, modify, create derivative works based on, distribute, publicly display, publicly perform, and otherwise exploit in any manner such content in all formats and distribution channels now known or hereafter devised (including in connection with Respondr and Respondr’s business and on third-party sites and services), without further notice to or consent from you, and without the requirement of payment to you or any other person or entity.
6. Intellectual Property Rights
Respondr owns all intellectual property rights in our services and any materials and content provided through our services. You may not use our services or any content provided through our services for any commercial purpose without our express written consent.
7. Disclaimer of Warranties
Our services are provided "as is" and without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that our services will be uninterrupted or error-free.
8. Limitation of Liability
To the fullest extent permitted by law, Respondr shall not be liable for any damages, including but not limited to direct, indirect, incidental, consequential, or punitive damages, arising out of or related to your use of our services.
9. Indemnification
You agree to indemnify, defend, and hold harmless Respondr, its affiliates, and their respective officers, directors, employees, and agents, from and against any claims, actions, suits, or proceedings, as well as any and all losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of our services or your violation of these Terms and Conditions.
10. Governing Law and Dispute Resolution
These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of New South Wales. Any dispute arising out of or related to these Terms and Conditions or our services shall be resolved through binding arbitration in accordance with the Uniform Commercial Arbitration Act 2010. The arbitration shall be held in New South Wales.
